Resellers Agreement:	This agreement describes the terms and conditions for participation in the Momentum Advertising Reseller Program. The terms "Reseller" are referring to you, the applicant. "Momentum Advertising" and "our" refer Momentum Advertising. Reseller and Momentum Advertising (the parties) are independent parties and this agreement will not form any partnership. AGREEMENT DURATION This agreement will begin upon our acceptance of Reseller Program application and will end only when terminated by either party. Termination may be issued at any time, with or without cause, by giving the other party written notice of termination. MODIFICATION By posting a change notice or a new agreement on this site, Momentum Advertising may modify any of the terms and conditions within this agreement at any time and at our sole discretion. These modifications may include, but are not limited to changes in the scope of available programs and tools, fee schedules, payment procedures and program rules. If any of the modifications are UNACCEPTABLE TO YOU, your only recourse is to terminate this agreement. If you CONTINUE PARTICIPATION IN THE PROGRAM following the posting of a change notice or new agreement, it will be considered as your acceptance of the change. ORDERS PROCESSING AND BILLING Resellers will receive 20% discount off the regular retail prices. Reseller will always determine the price paid by the Resellers customer. Resellers will bill their customers for services sold; and provide all direct support to their customers. Momentum Advertising will then bill Reseller for the Marketing Programs and or solutions provided to Resellers customers, and provide all sales and support to Reseller. Payment must be received with sales order in the form of U.S. currency payable to Momentum Advertising. Resellers USE OF THE MARKETING SERVICES Momentum Advertising will provide Reseller with right to resell its proprietary marketing data and solutions. Momentum Advertising will provide the services sold by the Reseller by providing the data and or solutions the Reseller sold to the Resellers clients (customers). Momentum Advertising reserves all of its proprietary rights to their marketing data and solutions. Reseller acquires no rights to or access to Momentum Advertising data or solutions. On all direct marketing solutions, Momentum Advertising will provide the recipitient contact information, recipient may use to add and or delete the recipients information from the Momentum Advertising database. Reseller understands Momentum Advertising may not be able to process or fully complete Resellers sales order or sales request if to do so would violate Momentum Advertising own internal procedures or policies with respect to the Service. LIMITED LIABILITY Momentum Advertising makes no warrantyexpress or impliedas to the ability of marketing to in fact increase clients marketability. Although Momentum Advertising expects marketing data and or solutions , once utilized, to increase clients marketing presence. In the event clients marketability does not increase as a result of the clients utilization of the Momentum Advertising data and or solutions, neither Reseller nor client shall have any recourse against Momentum Advertising on any legal theory, whether based on representation, warranty or otherwise. All Sales are final. Client assumes the entire risk as to the results and performance of marketing and solutions in regards to increasing marketability and revenues. Momentum Advertising will not be liable for indirect, special, or consequential damages or any loss of revenue, profits, or data arising in connection with the agreement or the marketing program(s), even if Momentum Advertising has been advised of the possibility of such damages. Furthermore, our aggregate liability arising with respect to this Agreement and the Program will not exceed the total commissions paid or payable to you under this Agreement. RESTRICTIONS Momentum Advertising reserves the right not to accept any clients into the Reseller Program. Clients that do not qualify for the Reseller Program include clients that promote violence and discord, promote discrimination based on race, sex, religion, nationality, disability, sexual orientation or age, promote illegal or questionable activities, violate intellectual property rights. DISCLAIMER Momentum Advertising makes no express or implied warranties or representations with respect to the Reseller Program or your potential to earn income from the Momentum Advertising Reseller Program. Reseller Program will always determine the price paid by the Reseller Programs customer. In addition, Momentum Advertising makes no representation that the operation of our site will be uninterrupted or error-free, and we will not be liable for the consequences of any interruptions or down time. This Agreement will be governed in the United States by Washington State and Federal laws; in EU by the United Kingdom commercial law; in Latin America by Mexico Federal laws and Quintana Roo State laws. All agreements will also be governed by the United Nations Convention on Contracts for the International Sale of Goods (abbrev. CISG). Any action relating to this Agreement must be brought in the courts located in these locations, and you irrevocably consent to the jurisdiction of such courts. You may not assign this agreement, by operation of law or otherwise, without our prior written consent. Subject to that restriction, this agreement will be binding on, inure to the benefit of, and enforceable against the parties and their respective successors and assiMomentum Advertising. Our failure to enforce your strict performance of any provision of this agreement will not constitute a waiver of our right to subsequently enforce such provision or any other provision of this agreement. By submitting this application, you acknowledge that you have read the Reseller Programs Agreement and agree to all its terms and conditions. You have independently evaluated this program and are not relying on any representation, guarantee, or statement other than as set forth in this agreement.
